By accessing, browsing, or using the Mastua platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You represent and warrant that:

• You have the full right, power, and authority to enter into this Agreement
• You are at least 18 years of age
• If representing an organization, you have the authority to bind that organization to these Terms
• All information provided by you is complete, accurate, and up-to-date
• You have not previously been terminated from using the Services for violating any agreement with Mastua

To access certain features of our Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You are solely responsible for all materials, data, information, and content you submit, upload, or transmit through our Services ("User Content"), including:

• Procurement requests and specifications
• Supplier information and documentation
• Product descriptions and pricing data
• Communications, files, documents, and images

By submitting User Content to Mastua, you grant us a royalty-free, non-exclusive, worldwide, sublicensable license to use, copy, modify, display, and distribute your User Content solely for providing and improving our Services, facilitating platform connections, and complying with legal obligations.

You represent and warrant that you own or have the necessary rights to all User Content you submit, that it does not violate any third-party rights, and that it is not obscene, defamatory, fraudulent, or misleading.

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Provide fraudulent, false, or misleading information
• Impersonate any person or entity
• Use automated means (bots, scrapers, crawlers) without our permission
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Transmit viruses, malware, or other harmful code
• Collect or harvest personal information of other users
• Use the Services to build a competitive product
• Reverse engineer or decompile any part of the Services

If you purchase Services from Mastua:

• Payment is due within 30 days of invoice date unless otherwise specified
• All fees are non-refundable unless otherwise stated in writing
• Unpaid fees may be subject to late fees of 1% per month or the maximum rate allowed by law
• We may suspend or terminate Services for non-payment
• You are responsible for all applicable taxes
• Disputed amounts must be submitted in writing within 90 days of invoice date

The Services, including all content, features, functionality, software, and technology, are owned by Mastua and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

Mastua and related logos, product names, and service names are trademarks of Mastua. You may not use these trademarks without our prior written consent.

Our Services may contain links to third-party websites or resources. We do not endorse and are not responsible for the availability, accuracy, content, privacy practices, or any damages caused by third-party services. Your use of third-party services is at your own risk and subject to their own terms.

We implement reasonable security measures to protect your data. However, no method of transmission over the internet is 100% secure. You acknowledge that you provide information at your own risk. Please review our Privacy Policy for details on how we collect, use, and protect your information.

These Terms remain in effect while you use our Services.

You may terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations for Services already provided.

We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms, fraudulent or illegal activity, non-payment, or at our sole discretion.

• Your right to use the Services immediately ceases
• All outstanding fees become immediately due
• We may delete your account and User Content
• Provisions that by their nature should survive will remain in effect

"Confidential Information" means any non-public information disclosed by one party to the other. You agree to:

• Keep all Confidential Information strictly confidential
• Use it only for authorized purposes
• Protect it with the same degree of care you use for your own confidential information
• Not disclose it to third parties without written consent

You agree to indemnify, defend, and hold harmless Mastua, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any applicable laws or rights of another party.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, updating the "Last Updated" date, and sending notice via email for material changes. Your continued use of the Services after changes become effective constitutes acceptance.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.

Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally by sending a written notice describing the dispute and your proposed resolution.

Entire Agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Mastua.

Severability: If any provision is found unenforceable, the remaining provisions continue in full force.

Waiver: Our failure to enforce any right does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our prior written consent. We may assign them without restriction.

Electronic Communications: By using the Services, you consent to receive electronic communications from us.

Force Majeure: We shall not be liable for any failure due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, or internet service failures.
